Terms & Conditions

Effective date: August 18, 2026  ·  Vantreau Advisory, Brampton, Ontario, Canada

These Terms & Conditions govern the services provided by Vantreau Advisory ("Vantreau", "we", "us") to its clients ("you", "the client"). They set out how engagements are scoped, delivered, billed and refunded. Please read them carefully. The specific scope, fees, currency and timelines for your project are set out in a separate written agreement, which works alongside these terms.

01

Agreement to terms

By engaging Vantreau Advisory for any service, or by approving a written scope of work, you agree to be bound by these Terms & Conditions together with the written agreement for your project. If any part of these terms conflicts with your written agreement, the written agreement governs for that specific matter.

02

Definitions

  • Services means brand and identity work, applied AI and integration work, advertising and creative work, strategic advisory, and any related work described in your written agreement.
  • Milestone means a defined, deliverable stage of work agreed in writing before it begins.
  • Written agreement means the scope document, proposal or statement of work signed or approved by both parties.
  • Deliverable means any work product provided to you as part of a milestone.
03

Services & scope

Vantreau provides the services described in your written agreement. Every engagement begins with a consultation at no cost, during which scope, milestones, fees, currency and timelines are discussed and then confirmed in writing before any work begins.

Work outside the agreed scope is not undertaken until it has been described and agreed in writing as an addition, including any change to fees or timelines it requires.

04

Milestones & approval

Work is delivered in defined milestones. Each milestone is completed, revised as reasonably needed to meet the agreed outcome, and then presented to you for review.

A milestone is treated as approved when you confirm it in writing, or when a reasonable review period stated in your written agreement passes without written objection. Invoicing follows approval, as set out below.

05

Fees, invoicing & payment

There are no deposits and no upfront fees. You are not invoiced for undelivered work. An invoice is issued only after a milestone has been completed, revised as reasonably needed, and approved by you.

Fees, currency and payment timelines are set out in your written agreement. Unless stated otherwise, fees are quoted and payable in Canadian dollars (CAD). Payments are accepted securely through Stripe and PayPal.

Invoices are due within the period stated on the invoice or in your written agreement. We reserve the right to pause work on a project where an approved and invoiced milestone remains unpaid past its due date.

06

Refunds & incomplete work

If a project cannot be completed, you receive a pro rata refund for any milestone that has been paid for but not delivered.

If work has been carried out but an agreed milestone has not been reached, that work is not charged. You only ever pay for milestones that are both delivered and approved.

07

Revisions

Reasonable revisions required to meet the outcome agreed for a milestone are included in the fee for that milestone. They are part of doing the work properly, not an additional charge.

Revisions that go beyond the agreed scope, or that request a materially different direction after approval, are treated as new work and are scoped and agreed in writing before they begin.

08

Client responsibilities

To deliver on time and to standard, we rely on you to provide accurate information, timely feedback and approvals, and any materials, access or accounts described in your written agreement.

Where a trademark, corporate registry or other legal clearance is relevant — for example when adopting a new business name — final verification with the appropriate authority (such as CIPO in Canada or the USPTO in the United States) remains your responsibility. Any preliminary availability checks we perform are not a substitute for formal legal clearance.

09

Intellectual property

Upon full payment for the milestone in which a deliverable was produced, ownership of that final deliverable transfers to you, except for any third-party assets, fonts, libraries or platform components that remain subject to their own licences.

Vantreau retains ownership of its own pre-existing tools, methods, templates and know-how, and may display completed work in its portfolio unless your written agreement states otherwise.

10

Confidentiality

Each party will keep the other's non-public business information confidential and use it only to carry out the engagement. This obligation continues after the engagement ends and does not apply to information that is public, already known, or required to be disclosed by law.

11

Warranties & disclaimers

We provide the services with reasonable skill and care. Except as expressly stated in these terms or your written agreement, the services and deliverables are provided without further warranties of any kind, whether express or implied, to the fullest extent permitted by law.

We do not guarantee specific commercial outcomes such as revenue, rankings, conversion rates or campaign results, as these depend on factors outside our control.

12

Limitation of liability

To the fullest extent permitted by law, Vantreau's total aggregate liability arising out of or in connection with an engagement is limited to the total fees paid by you to Vantreau for that engagement in the twelve (12) months preceding the event giving rise to the claim.

Vantreau is not liable for indirect, incidental, special or consequential losses, including lost profits, lost revenue or lost data, even if advised of the possibility of such losses. Nothing in these terms excludes liability that cannot be excluded under applicable law.

13

Term & termination

Either party may end an engagement with written notice. On termination, the refund and non-charging principles in section 6 apply: you receive a pro rata refund for any paid but undelivered milestone, and work done toward an unreached milestone is not charged.

Sections that by their nature should survive termination — including intellectual property, confidentiality, disclaimers and limitation of liability — continue to apply after the engagement ends.

14

Governing law

These terms and any engagement are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The parties submit to the exclusive jurisdiction of the courts of Ontario for any dispute that cannot be resolved amicably.

15

Changes to these terms

We may update these Terms & Conditions from time to time. The version in effect when your written agreement is signed or approved governs that engagement, unless both parties agree in writing to adopt an updated version.
